These terms govern your use of the AffiAfrica platform. Please read them carefully before creating an account, listing products, running campaigns, or promoting offers.

This Terms of Service page is maintained by AffiAfrica Technologies Ltd and forms part of your agreement with us. If you have questions about any section, please contact us using the information below.

1. Acceptance of Terms

By accessing or using AffiAfrica (the "Platform"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you may not use the Platform. You must be at least 18 years old and capable of entering into a binding contract. If you are using the Platform on behalf of a business, you represent that you have authority to bind that business.

2. User Responsibilities

You are responsible for:

  • Providing accurate, complete, and current account information.
  • Maintaining the confidentiality of your login credentials.
  • All activity that occurs under your account.
  • Ensuring your content, products, and campaigns comply with applicable laws and our community guidelines.
  • Not using the Platform for fraud, spam, harassment, hate speech, illegal goods, or deceptive practices.
  • Honoring your commitments to buyers, affiliates, creators, and brands.

We may suspend or terminate accounts that violate these responsibilities or harm other users.

3. Digital Product Sales

Creators may list digital products such as ebooks, courses, templates, software, AI prompts, and downloads. By listing a product, you represent that you own or have the right to sell it, that it does not infringe third-party rights, and that your description, pricing, and delivery method are accurate.

AffiAfrica provides the marketplace and payment infrastructure. You are the seller of record for your own products. You are responsible for delivering the purchased item, providing reasonable buyer support, and resolving disputes related to your listings.

We reserve the right to remove listings that violate our policies or that we reasonably believe may harm buyers or the Platform.

4. Affiliate Marketing Terms

Affiliates may apply to promote products listed on the Platform and earn commissions on qualifying sales or actions. Commission rates, cookie windows, and payout rules are set by the product owner or by AffiAfrica where stated.

As an affiliate, you agree to:

  • Promote products honestly and disclose your affiliate relationship where required by law.
  • Not use misleading claims, fake traffic, click fraud, or unauthorized incentives.
  • Not bid on trademarked terms or run ads that impersonate AffiAfrica or the product owner.
  • Accept that commissions are tracked through our systems and subject to validation, reversal on refunds, and minimum payout thresholds.

5. Creator and Brand Campaign Rules

Brands may create campaigns and invite or accept applications from creators. Creators may apply to campaigns and submit deliverables. Both parties agree to communicate in good faith, meet agreed milestones, and honor the terms set out in the campaign brief.

Brands are responsible for:

  • Providing clear campaign briefs, requirements, and compensation terms.
  • Funding campaign budgets before work begins.
  • Reviewing deliverables promptly and releasing milestone payments when requirements are met.

Creators are responsible for:

  • Submitting original, brand-appropriate content that meets the brief.
  • Disclosing paid partnerships in line with local advertising and consumer protection laws.
  • Delivering on time and revising work reasonably when requested.

6. Payments and Withdrawals

All transactions are processed through AffiAfrica's integrated payment providers. Buyers pay the listed price plus any applicable fees. Sellers, affiliates, and creators receive earnings in their AffiAfrica wallet after any platform fees, taxes, or refunds have been applied.

Withdrawals are currently supported via Bank Transfer (Paystack) to verified bank accounts. You must complete identity and payout verification before withdrawing. Withdrawal requests are subject to review, minimum and maximum limits, processing times, and applicable fees displayed at the time of request.

You are responsible for any taxes, withholdings, or regulatory reporting obligations arising from your earnings. AffiAfrica may request tax or compliance documentation before processing payouts.

7. Escrow Policy

Campaign and certain marketplace payments may be held in escrow until predefined milestones are completed and approved. Funds are released to the creator or seller only when the buyer or brand confirms delivery, or when the escrow release conditions are otherwise met.

If a dispute arises, funds may remain in escrow until the dispute is resolved through our dispute resolution process, mediation, or a final determination by AffiAfrica. We aim to resolve disputes fairly, but our decisions are binding with respect to funds held on the Platform.

8. Refund Policy

Digital products are generally non-refundable once delivered, unless the product is materially misdescribed, defective, or not delivered at all. Buyers must request a refund within the timeframe shown on the product page or, if none is shown, within 14 days of purchase.

Refund eligibility for campaign-related payments depends on the campaign terms and whether milestones were completed. If a brand cancels a campaign before work begins, unspent funds are typically returned to the brand's wallet.

Approved refunds may be credited to the original payment method or to the buyer's AffiAfrica wallet, at our discretion. Affiliate commissions earned on refunded transactions will be reversed.

9. Account Suspension

We may suspend, restrict, or terminate your account and access to the Platform at any time, with or without notice, for conduct that violates these Terms, creates legal risk, harms other users, or is otherwise harmful to the Platform.

Upon suspension or termination, you remain liable for any amounts owed, and we may withhold pending payouts to cover chargebacks, refunds, disputes, or damages. You may appeal certain suspensions by contacting our support team.

10. Intellectual Property

AffiAfrica and its licensors own all rights in the Platform, including logos, software, designs, and content we create. You may not copy, modify, distribute, or reverse-engineer any part of the Platform without our written permission.

You retain ownership of content you upload, such as product files, profile information, and campaign deliverables. By uploading content, you grant AffiAfrica a non-exclusive, worldwide, royalty-free license to display, host, and promote that content on the Platform.

You may not upload content that infringes copyrights, trademarks, trade secrets, or other intellectual property rights. We will respond to valid takedown notices and may terminate repeat infringers.

11. Limitation of Liability

To the fullest extent permitted by law, AffiAfrica and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data, arising out of or related to your use of the Platform.

Our total liability for any claim arising from these Terms or the Platform is limited to the greater of (a) the amount you paid to AffiAfrica in the 12 months before the claim, or (b) the amount you earned through the Platform in the 12 months before the claim, up to a maximum determined by applicable law.

Nothing in these Terms limits liability for fraud, willful misconduct, gross negligence, or any liability that cannot be excluded under applicable law.

12. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of the Platform will be subject to the exclusive jurisdiction of the courts located in the Federal Republic of Nigeria.

Before filing a claim, you agree to attempt to resolve the dispute informally by contacting us. If we cannot resolve the dispute within 30 days, either party may pursue formal remedies.
